Terms of Service

Effective 6 November 2026 · Version 2026-11-06

The short version

1. Agreement

These Terms of Service ("Terms") form a binding agreement between Crerio ("Crerio AI", "we", "us") and the business or individual that creates an account ("Customer", "you"). By ticking the acceptance box at sign-up, buying a plan, or using the service, you accept these Terms. If you accept on behalf of a company, you confirm you have authority to bind it.

Crerio AI is a business-to-business service. You confirm you are using it for business or professional purposes and are at least 18 years old.

2. The service

Crerio AI uses artificial intelligence to read invoices and related documents you upload, and deterministic arithmetic to check the extracted figures. Results are presented for human review in a verification workspace and can be exported.

Crerio AI is a review tool. It does not provide accounting, legal, tax or customs-brokerage advice. You remain solely responsible for verifying results before relying on them, including before approving a payment, disputing a charge with a carrier, issuing a claim to a vendor, or filing a customs entry with any authority. We never contact your carriers or vendors on your behalf.

3. Free audit

Without a paid plan you may upload up to 50 documents, for example your most recent carrier invoices, and load your rate sheets, to see what the service finds. Results are shown on screen; export, dispute packs and further uploads require a paid plan.

4. No free trial

There is no free trial. You can try the service at no cost with the free audit described in section 3; no payment method is needed for it.

A free trial started before this change runs until its end date and then stops, unless you buy a paid plan.

5. Payment and renewal

You buy Pro or Business by card at checkout, paying monthly or upfront for 12, 24 or 36 months at the same monthly price. Each upfront period includes free time on top: 1 month for 12 months, 2 months for 24 months and 3 months for 36 months; your next payment is due when that time ends. Your plan starts as soon as the payment succeeds and renews automatically at the end of each period, for the same length and at the then-current price for your plan, charged to the same card, until you cancel. A plan we switch on for you by agreement (for example Savings) runs until the end date we confirm to you.

Payments are processed by our payment provider and merchant of record, Dodo Payments, which charges your card, issues your invoices and receipts, and handles your payment details; we never see full card numbers. Prices are shown in your local currency where available and exclude taxes; Dodo Payments adds any sales tax or VAT that applies at checkout. You are responsible for any bank, card or withholding charges.

If a renewal payment fails, we and our payment provider tell you and retry it. If it has still not succeeded 7 days after the renewal date, we may suspend processing until it is paid.

One-time setup fees (for example, the Customs Pro setup) are charged with your first payment and must be paid before setup work begins.

Launch offer. The one-time Customs Pro setup fee is waived for plans started before 1 January 2027; plans started from that day include it.

Share of validated savings (Freight Audit plans). On the Savings plan you pay 15%, on the Pro plan 12%, on the Business plan 10% and on a Custom plan 8% (or the share in your order form), of each Validated Saving. A Validated Saving is the amount of an overcharge the service flagged while your plan was active that, within 12 months of the flag, (a) you short-pay, meaning you pay the carrier your agreed rate instead of the billed amount, (b) the carrier credits, refunds or corrects, or (c) you dispute and the carrier does not reject within 45 days of the dispute. You agree to record the outcome of each flagged overcharge in the service, or tell us, within 30 days of knowing it, and to show the short-payment or the carrier's response on request. Overcharges you decide not to dispute or short-pay, and disputes the carrier rejects within 45 days, are not Validated Savings and carry no share. We bill the share monthly in arrears; you pay it by card from your Savings page within 15 days. We send reminders, and if a share invoice is still unpaid 15 days after its due date, new invoice audits on your account are paused until it is paid; your data, rate sheets and savings history are kept and remain available. If you disagree with a line on a share invoice, tell us before the due date and we remove or correct it.

Business plan. Business includes everything in Pro, plus parcel audit, done-for-you disputes (we email your carriers on your behalf, with you in copy, only after you switch it on), accounting export, freight spend analytics and EDI invoice intake. Its share of Validated Savings is 10%.

6. Cancellation

You may cancel at any time under Manage billing in your account, or by writing to billing@crerio.com. You do not need to give a reason.

Cancelling takes effect at the end of your current paid period; it does not end the period you have already paid for. Your plan, allowances and exports remain fully available until that period ends, after which your account moves to read-only access.

For example: if your monthly period starts on the 1st and you cancel on the 10th, you keep full access until the last day of that month and are not charged again.

Ending a Freight Audit plan does not cancel the share on overcharges flagged while it was active: it stays due on those that become Validated Savings within 12 months of each flag, as described in section 5.

7. No refunds

All fees are final and non-refundable. This includes monthly or annual fees, partially used terms, unused invoice or processing allowances, downgrades, one-time setup fees and shares of validated savings. This includes 12-, 24- and 36-month plans paid upfront. 90-day savings guarantee (Pro and Business). If the Validated Savings flagged in the first 90 days after your plan first starts are less than the monthly fees you paid for those 90 days, we credit the difference to your account. The credit is never paid out or refunded in cash, in any situation; it only reduces your next Crerio charges (monthly fees or shares of savings) until it is used up, and it lapses if your plan ends before it is used. Each account gets this guarantee once.

We apply this policy because every document uploaded to the service is processed immediately by third-party AI infrastructure that we pay for per use; that cost cannot be recovered once processing has occurred. Cancelling, as described in section 6, is how you avoid future fees.

If you were charged because of an error on our side — for example a duplicate payment or a renewal charged after you had cancelled — contact billing@crerio.com within 30 days and we will correct it. Nothing in these Terms excludes any right to a refund that applicable law gives you and that cannot be excluded by contract. If you are charged twice for the same period, we refund the duplicate. Please contact us before disputing a charge with your bank or card issuer. While a card dispute (chargeback) on a charge made under these Terms is open, we may suspend your account, and we may give the card issuer this agreement and your account's usage records.

8. Usage limits and fair use

Each plan includes a monthly allowance of invoices (one uploaded document counts as one invoice regardless of page count), along with limits on pages per document, file size, batch size and upload rate, as described on the pricing page.

Each plan also includes a processing allowance that caps the AI computation consumed in a billing period. When your invoice allowance or processing allowance is used up, new processing pauses until the next billing period begins or until you upgrade. Unused allowances do not roll over.

You may not attempt to circumvent limits — for example by splitting one account across unrelated companies, automating uploads outside the provided interfaces, or repeatedly re-processing the same document.

9. Upgrades and downgrades

Upgrades take effect as soon as the payment for the new plan succeeds, and your new allowances apply straight away. Downgrades, and changes to how many months you pay at once, take effect at the start of the next period; until then you keep your current plan and its allowances.

Sales-led plans are governed by the order form you sign with us, which takes precedence over these Terms where they differ.

10. Your data

You keep all rights to the documents and data you upload and the results generated from them ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide, secure and support the service.

Customer Data is processed by sub-processors that help us run the service, including cloud hosting and AI model providers. We do not use Customer Data to train AI models, and we do not sell it.

You are responsible for having the right to upload the documents you submit. After your account is closed we delete Customer Data within 30 days, except where we must retain records by law. Our Privacy Policy explains in detail what we collect and how it is handled.

11. Acceptable use

You agree not to: upload unlawful content or documents you are not entitled to process; attempt to gain unauthorised access to the service or other customers' data; reverse engineer the service; resell or provide the service to third parties without our written consent; or use the service to build a competing product.

12. Accuracy and human review

AI extraction can misread documents, particularly poor scans or handwriting. Arithmetic checks are only as accurate as the figures extracted. The service is designed so that a person reviews flagged items before results are used, and you agree to keep that review in your process.

13. Intellectual property

Crerio AI, its software, design and documentation are owned by us and our licensors. Apart from the right to use the service under these Terms, no rights are granted to you. If you send us feedback, we may use it without obligation to you.

14. Disclaimer

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the service will be uninterrupted or error-free.

15. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, duties, penalties or data, arising out of these Terms.

Our total liability for all claims relating to the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law.

16. Indemnity

You will defend and indemnify us against third-party claims arising from documents you upload, your use of results, or your breach of these Terms.

17. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms (including non-payment) and do not cure the breach within 7 days of notice, or immediately where necessary to protect the service or other customers. Termination for your breach does not entitle you to a refund.

18. Changes to these Terms

We may update these Terms. For material changes we will notify you by email or in the app at least 14 days before they take effect and ask you to accept the updated Terms. If you do not agree, you may stop your plan under section 6 before the change takes effect.

19. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except where mandatory law in your country provides otherwise.
